本規約により、お客様は本サービスを個人的かつ非商業的な目的でのみ利用することが許可されます。当社の事前の書面による同意なく、本サービス上の素材を複製、配布、変更、二次的著作物の作成、公衆への展示、公衆送信、再掲載、ダウンロード、保存または送信してはなりません。本規約に明示的に定める場合を除き、本規約のいかなる内容も、LINGERIE ELF、Shopifyまたは第三者の特許権、商標権、著作権その他の知的財産権に基づくライセンスまたはその他の権利をお客様に付与するものと解釈されません。本サービスの無断利用は、関係法令に違反する可能性があります。本規約で明示的に付与されていないすべての権利は、LINGERIE ELFに留保されます。
LINGERIE ELFの名称、ロゴ、商品名、サービス名、デザインおよびスローガンは、LINGERIE ELFまたはその関連会社もしくはライセンサーの商標です。LINGERIE ELFの事前の書面による許可なく、これらの商標を使用してはなりません。Shopifyの名称、ロゴ、商品名、サービス名、デザインおよびスローガンはShopifyの商標です。本サービス上のその他すべての名称、ロゴ、商品名、サービス名、デザインおよびスローガンは、それぞれの所有者の商標です。
第7条 任意のツール
本サービスの一部として、第三者が提供するツールへのアクセスが提供される場合がありますが、当社はこれらを監視せず、管理も関与も行いません。
お客様は、当社がこれらのツールへのアクセスを「現状のまま」および「利用可能な状態で」提供しており、いかなる保証、表明または条件も伴わず、何らの推奨も行っていないことを了承し、同意するものとします。お客様による第三者ツールの利用に起因または関連して生じるいかなる責任も、当社は負いません。
本サイトを通じて提供される任意のツールの利用は、すべてお客様ご自身の責任と判断において行われるものであり、当該第三者が定める利用条件を十分に理解し承諾されていることをご確認ください。
当社は将来、本サービスを通じて新機能（新しいツールやリソースの提供を含みます）を提供する場合があります。これらの新機能も本サービスの一部とみなされ、本規約の対象となります。
第8条 第三者のリンク
本サービスには、第三者が提供または運営するウェブサイトへの素材やハイパーリンク（第三者機能の埋め込みを含みます）が含まれる場合があります。お客様がアクセスを選択した第三者の素材やウェブサイトの内容または正確性について、当社は検証・評価する責任を負いません。本サービスを離れてこれらの素材や第三者サイトにアクセスされる場合、そのリスクはお客様ご自身が負うものとします。
お客様による第三者ウェブサイトへのアクセス、または第三者ウェブサイト上の商品、サービス、リソース、コンテンツの購入もしくは利用に関連して生じた損害について、当社は責任を負いません。取引を行う前に、当該第三者のポリシーおよび取扱いを十分にご確認ください。第三者の商品およびサービスに関する苦情、請求、懸念または質問は、当該第三者に直接お問い合わせください。
第9条 Shopifyとの関係
LINGERIE ELFはShopifyにより運営されています。ただし、お客様が当社ストアで行うすべての売買は、直接LINGERIE ELFとの間で行われます。本サービスを利用することにより、お客様は、Shopifyがお客様とLINGERIE ELFとの間の売買のいかなる側面についても責任を負わないこと（購入した商品およびサービスに起因する傷害、損害または損失を含みます）を認識し、同意するものとします。お客様は、LINGERIE ELFとの購入および取引に起因または関連するすべての請求、損害および責任から、Shopifyおよびその関連会社を明示的に免責するものとします。
第10条 プライバシーポリシー
当社が本サービスを通じて収集するすべての個人情報は、当社のプライバシーポリシー [LINK] の対象となり、一部の個人情報はShopifyのプライバシーポリシーの対象となる場合があります。本サービスを利用することにより、お客様はこれらのプライバシーポリシーを読んだことを認めるものとします。
本サービスはShopifyによりホストされているため、Shopifyは本サービスの提供および改善のため、お客様のアクセスおよび利用に関する個人情報を収集・処理します。お客様が本サービスに送信した情報は、Shopifyおよびお客様の居住国以外に所在する可能性のある第三者に送信・共有されます。当社、Shopifyおよび当社のパートナーによる個人情報の利用の詳細については、当社のプライバシーポリシー [LINK] をご覧ください。
第11条 フィードバック
お客様がアイデア、提案、フィードバック、レビュー、企画、計画その他のコンテンツ（以下総称して「フィードバック」といいます）を提出、アップロード、投稿、メール送信その他の方法で送信された場合、お客様は当社に対し、商業利用を含むあらゆる目的で、あらゆる媒体において当該フィードバックを使用、複製、修正、公開、配布および表示するための、永続的、全世界的、サブライセンス可能かつロイヤリティフリーのライセンスを付与するものとします。当社は、たとえば本ライセンスに基づく権利を用いて、本サービスの運営、提供、評価、強化、改善および宣伝を行い、本規約に基づく義務の履行および権利の行使をすることがあります。
お客様はまた、以下を表明し保証するものとします。(i) フィードバックに関するすべての権利を所有し、または必要な権利をすべて有していること、(ii) フィードバックの提出に関連して受領した報酬またはインセンティブを開示していること、(iii) フィードバックが本規約に準拠すること。当社は、(1) フィードバックを機密として保持する義務、(2) フィードバックに対して報酬を支払う義務、(3) フィードバックに返答する義務のいずれも負いません。
当社は、独自の裁量により違法、攻撃的、脅迫的、中傷的、名誉毀損的、ポルノ的、わいせつその他不適切と判断したフィードバック、または第三者の知的財産権もしくは本規約に違反するフィードバックを、監視、編集または削除する場合がありますが、その義務を負うものではありません。
お客様は、フィードバックが著作権、商標権、プライバシー権、パブリシティ権その他の人格的権利または財産的権利を含む第三者の権利を侵害しないことに同意するものとします。またお客様は、フィードバックに中傷的、その他違法、虐待的もしくはわいせつな内容、または本サービスもしくは関連ウェブサイトの運営に影響を及ぼしうるコンピュータウイルスその他のマルウェアが含まれないことに同意するものとします。虚偽のメールアドレスの使用、他者へのなりすまし、フィードバックの出所について当社または第三者を誤認させる行為を行ってはなりません。お客様は、ご自身のフィードバックおよびその正確性について単独で責任を負うものとします。当社は、お客様または第三者が投稿したフィードバックについて、一切の責任を負いません。
第12条 誤り、不正確な情報および記載漏れ
本サービス上または本サービス内に、商品説明、価格、プロモーション、オファー、配送料、配送所要時間、在庫状況などに関する誤字脱字、不正確な情報または記載漏れが含まれる場合があります。当社は、誤り、不正確な情報または記載漏れを訂正し、情報を変更・更新する権利、および情報に不正確な点があった場合には事前の通知なく（ご注文送信後であっても）ご注文をキャンセルする権利を留保します。
第13条 禁止事項
お客様は、本サービスを適法な目的でのみ利用するものとします。お客様は、直接または間接を問わず、以下の目的で本サービスにアクセスまたは利用してはなりません。(a) 違法または悪意ある目的、(b) 適用される法令または規則の違反、(c) 当社または第三者の知的財産権の侵害、(d) 当社の従業員その他の者に対する嫌がらせ、虐待、侮辱、加害、名誉毀損、中傷、誹謗、威圧、(e) 虚偽または誤解を招く情報の送信、(f) 本規約に準拠しない素材の送信、受信、アップロード、ダウンロード、使用または再利用、(g) 広告または宣伝素材（「迷惑メール」「チェーンメール」「スパム」その他類似の勧誘を含みます）の送信または送信の手配、(h) 他者または団体へのなりすましもしくはその試み、(i) 他者による本サービスの利用を制限もしくは妨害する行為、または当社が判断するところによりLINGERIE ELF、Shopifyもしくは本サービスの利用者に害を及ぼし、責任を負わせるおそれのある行為。
さらにお客様は、以下の行為を行わないことに同意するものとします。(a) 本サービスの機能または運営に影響を及ぼすおそれのあるウイルスその他の悪意あるコードのアップロードまたは送信、(b) 本サービスの一部の複製、複写、抽出、販売、再販売または不正利用、(c) 他者の個人情報の収集または追跡、(d) スパム送信、フィッシング、ファーミング、不正な口実の使用、(e) ロボット、スパイダー、スクレイピング、データ収集・抽出ツール、自動装置もしくはプロセス、AIツール（エージェント型AIなど）その他の自動的もしくは手動の手段による本サービスへのアクセス、(f) 本サービスへのアクセスを制限するために当社が用いるセキュリティ機能、認証機能、ロボット排除ヘッダーその他の措置への干渉、迂回または回避。お客様が本規約のいずれかの条項に違反したと当社が判断した場合、当社は事前の通知なくお客様のアカウントを一時停止、無効化または終了する権利を留保します。
第14条 エージェント
14.1 本条（以下「エージェント条項」といいます）は、お客様がエージェントを使用し、許可し、有効化し、または本サービスへのアクセス、利用もしくは相互作用のために展開させる場合に適用されます。「エージェント」とは、個人または団体に代わり、もしくはその指示により、自律的または半自律的に行動するソフトウェアまたはサービスであって、直接の監督なしに、個人に代わってまたは個人のデバイスを使用して実行されうるものをいいます。
14.2 エージェントは、常に自らを識別可能な形で表示し、下記14.4の要件に厳格に従って動作する場合を除き、本サービスにアクセスし、利用し、または相互作用してはなりません。また、当社が当該エージェントに対しアクセス、利用または相互作用を控えるよう要請した場合、当該エージェントは本サービスにアクセスし、利用し、または相互作用してはなりません。
14.3 当社は、技術的措置を含め、エージェントが本サービスにアクセスし、利用し、相互作用するか否か、およびその方法を制限することができます。
14.4 エージェントは以下を遵守しなければなりません。(i) すべてのHTTP/HTTPSリクエストにおいて、当該リクエストがエージェントによるものであることを明示し、リクエストのユーザーエージェント文字列に「Agent/[エージェント名]」を含めることでエージェント名を開示すること、(ii) エージェントによるアクセス、利用または相互作用であることを、(a) 人間の行動や操作パターンを模倣すること、または (b) CAPTCHAその他コンピュータと人間を区別するための措置を通過もしくは回避することなどにより、隠蔽または不明瞭にしないこと、(iii) 相互作用が人間によるものかコンピュータによるものかを判別しようとする質問またはプロンプトに対し、真実を回答すること、(iv) エージェントによる本サービスへのアクセス、利用または相互作用を遮断、制限、変更または制御することを意図した措置を、回避または迂回しないこと。
第15条 契約終了
当社は、当社の単独の裁量により、いつでも事前の通知なく本契約またはお客様の本サービス（もしくはその一部）へのアクセスを終了することができ、お客様は終了日までのすべての未払金について責任を負うものとします。
以下の条項は、契約終了後も引き続き適用されます。知的財産権、フィードバック、契約終了、保証の免責、責任の制限、補償、分離可能性、権利放棄・完全合意、譲渡、準拠法、プライバシーポリシー、およびその性質上終了後も存続すべきその他の規定。
第16条 保証の免責
本サービス上または本サービスを通じて提供される情報は、一般的な情報提供のみを目的としています。当社は、当該情報の正確性、完全性または有用性を保証しません。お客様が当該情報に依拠される場合、そのリスクはすべてお客様ご自身が負うものとします。当社は、お客様、その他の本サービス訪問者、または本サービスの内容を知りうる者が当該素材に依拠したことにより生じる一切の責任および義務を否認します。
LINGERIE ELFが明示的に述べる場合を除き、本サービスおよび本サービスを通じて提供されるすべての商品は「現状のまま」かつ「利用可能な範囲で」提供され、商品性、商品としての品質、特定目的への適合性、耐久性、権利帰属および非侵害を含む、明示または黙示を問わずいかなる表明、保証または条件も伴いません。当社は、お客様による本サービスの利用が中断されず、適時であり、安全でエラーがないことを保証、表明または確約しません。一部の法域では黙示の保証その他の保証の免責を制限または認めていないため、上記の免責がお客様に適用されない場合があります。
第17条 責任の制限
法律で認められる最大限の範囲において、いかなる場合も、LINGERIE ELF、当社のパートナー、取締役、役員、従業員、関連会社、代理人、契約者、サービス提供者もしくはライセンサー、ならびにShopifyおよびその関連会社は、お客様による本サービスの利用または本サービスを通じて取得した商品の利用に起因もしくは関連して生じる、傷害、損失、請求、または直接的、間接的、付随的、懲罰的、特別もしくは結果的損害（逸失利益、収益の減少、節約の喪失、データの喪失、代替費用その他これらに類する損害を含みますがこれらに限られません）について、契約、不法行為（過失を含みます）、厳格責任その他の法理に基づくか否かを問わず、責任を負いません。また、本サービスの利用、または本サービスを通じて投稿、送信もしくは提供されたコンテンツ（もしくは商品）に含まれる誤りや脱漏、およびこれらに起因して生じたいかなる損失または損害についても、その可能性を事前に通知されていた場合であっても、責任を負いません。
第18条 補償義務
お客様は、(1) 本規約または本規約が参照により組み込む文書の違反、(2) 法令または第三者の権利の侵害、(3) 本サービスへのアクセスまたは利用に起因もしくは関連して第三者に支払われる損失、損害、責任または請求（合理的な弁護士費用を含みます）について、LINGERIE ELF、Shopify、ならびに当社の関連会社、パートナー、役員、取締役、従業員、代理人、契約者、ライセンサーおよびサービス提供者を補償し、防御し、免責することに同意するものとします。
当社は、補償の対象となる請求についてお客様に通知します。ただし、速やかに通知しなかった場合でも、お客様が重大な不利益を被らない限り、お客様の義務は免除されません。当社は、弁護士の選任を含め、当該請求の防御および和解をお客様の費用負担で管理することができますが、お客様に金銭以外の義務を課す和解については、お客様の同意（不当に留保されないものとします）なく行いません。お客様は、関連資料の提供を含め、補償対象請求の防御に協力するものとします。
第19条 分離可能性
本規約のいずれかの条項が違法、無効または執行不能と判断された場合であっても、当該条項は適用法令で認められる最大限の範囲で引き続き執行可能とし、執行不能な部分は本規約から分離されたものとみなされます。当該判断は、その他の残存条項の有効性および執行可能性に影響を及ぼしません。
第20条 権利放棄・完全合意
当社が本規約のいずれかの権利または規定を行使または執行しなかったとしても、当該権利または規定の放棄とはみなされません。
本規約、および当社が本サイト上または本サービスに関して掲載するポリシーもしくは運用規則は、お客様と当社との間の完全な合意および了解を構成し、お客様による本サービスの利用を規律するものであり、本サービスの利用に関する当事者間の従前または同時期のあらゆる合意、連絡および提案（口頭・書面を問わず、本規約の従前の版を含みますがこれらに限られません）に優先します。
本規約の解釈における曖昧さは、起草者に不利に解釈されないものとします。
第21条 譲渡
お客様は、当社の事前の書面による同意なく、本契約または本規約に基づくお客様の権利もしくは義務を委任、移転または譲渡することはできず、かかる試みは無効とします。当社は、お客様の同意または通知なく、本規約ならびに当社の権利および義務を移転、譲渡または委任することができます。
第22条 準拠法
本規約および当社が本サービスを提供する別個の契約は、日本法に準拠し、これに従って解釈されるものとします。本規約または本サービスに起因または関連して生じる一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
第23条 見出し
本契約に使用される見出しは便宜上のものであり、本規約を限定しまたはその他の影響を及ぼすものではありません。
第24条 本規約の変更
お客様は、本ページにていつでも最新の本規約をご確認いただけます。
当社は、単独の裁量により、当社ウェブサイトに更新および変更を掲載することで、本規約の一部または全部を更新、変更または差し替える権利を留保します。変更の有無を定期的に当社ウェブサイトでご確認いただくことは、お客様の責任となります。当社は、適用法令に従い、本規約の重要な変更についてお客様に通知し、当該変更は通知に記載された日付から効力を生じます。本規約の変更が掲載された後もお客様が本サービスの利用またはアクセスを継続された場合、当該変更を承諾したものとみなされます。
